Terms of Service and End User Licence Agreement

1. The agreement
These terms are between Aqua-Star Pools, Inc. (“we”) and the business subscribing to Cycle (“you”). By creating an account or using the software you accept them. If you are accepting on behalf of a company, you confirm you are authorised to bind it.
2. What Cycle is
Hosted software for running a field service business: scheduling, dispatch, field records, invoicing, customer agreements, and optional synchronisation with QuickBooks Online and payment processing through Stripe. We licence it to you for the term of your subscription. We do not sell it, and no ownership transfers.
3. Your account
- You are responsible for everything done under your accounts.
- You control who has access and what permissions they hold.
- Credentials must not be shared. Tell us promptly if you believe an account is compromised.
- Accounts are for named individuals, not roles shared between people.
4. Your data
Your data remains yours. That includes your customer records, job history, photographs, invoices and anything imported from QuickBooks. We claim no ownership.
You grant us only the licence needed to run the service for you: to store, process, transmit and back it up. We do not use it for any other purpose, do not sell it, and do not use it to train machine learning models.
You are responsible for having the right to hold the personal data you put into Cycle, and for your own obligations to the people it concerns.
5. QuickBooks
Where you connect QuickBooks Online, QuickBooks is the source of truth for accounting data. Where the two disagree, QuickBooks wins and Cycle’s copy is updated to match. You should expect imported records to change when they change there.
Connecting it authorises us to read and, where you enable it, write accounting data on your behalf. You may disconnect at any time; we delete the stored tokens immediately and keep the records already imported.
Intuit is not a party to this agreement and we do not act for them. Your use of QuickBooks is governed by your agreement with Intuit.
6. Payments you take from your customers
Card payments are processed by Stripe under a Stripe Connect account in your name. Funds settle to your bank account, not ours. We never hold your money and never see a full card number.
We charge a negotiated processing fee on card payments, on top of Stripe’s own fees, stated in your account and capped at 1% of the transaction. Your business bears it; it is not added to what your customer pays. Refunds return our fee proportionally.
7. What you pay us
- Subscription — a flat monthly fee or a per-user fee, as agreed, billed monthly in advance.
- Card processing — as described above, collected per transaction.
- Assistant usage — if you use the built-in assistant, metered by usage against a monthly allowance shown in your account. It stops when the allowance is reached rather than continuing to bill.
Fees are exclusive of tax. Late amounts may lead to suspension after notice. We will give at least 30 days’ notice of a price change, and you may cancel before it takes effect.
8. Acceptable use
You will not:
- Break the law, or use Cycle to help someone else do so.
- Attempt to access another company’s data.
- Probe, scan or test the security of the service without our written consent.
- Resell or sublicence the service, or copy it to build a competing product.
- Upload malware, or content you have no right to upload.
- Send messages through Cycle that the recipient has not agreed to receive.
9. Availability
We aim to keep Cycle available and will try to schedule maintenance sensibly, but we do not currently offer a service level agreement or an uptime guarantee. The service may be unavailable because of maintenance, a failure at a provider we depend on, or events outside our control.
10. Warranties
Cycle is provided “as is”. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We specifically do not warrant that synchronisation with QuickBooks will be error-free. Cycle is not accounting software and we do not provide accounting, tax or legal advice. You remain responsible for the accuracy of your books and for reviewing what is posted to them.
11. Liability
Neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or lost data, even if warned they were possible.
Our total liability arising out of this agreement is limited to the fees you paid us in the twelve months before the claim.
Nothing here limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence.
12. Indemnity
You will defend and indemnify us against claims arising from your data, your use of the service in breach of these terms, or your breach of law — provided we notify you promptly and let you control the defence.
13. Ending it
- You may cancel at any time, effective at the end of the current billing period. Fees already paid are not refunded.
- We may suspend for non-payment, or for a breach that puts the service or other customers at risk, after notice where practical.
- We may terminate for material breach not cured within 30 days of notice.
On termination your data is retained for 90 days so you can export it or reinstate the account, then deleted. You may ask for deletion sooner.
14. Changes
We may update these terms. Material changes will be notified at least 30 days in advance. Continuing to use Cycle after they take effect is acceptance; if you object, you may cancel.
15. General
These terms and the Privacy Policy are the whole agreement between us. If a provision is unenforceable the rest stands. Not enforcing something is not a waiver of it. You may not assign this agreement without our consent; we may assign it to a successor in a merger or sale.
Governed by the laws of Connecticut, and the courts there have exclusive jurisdiction.
